Commercial Terms
Lease Option
Weekly Lease Rate:
USD 150,000 — Payable to the License Owner
USD 50,000 — Facilitators' Fee (Both Sides)
Outright Purchase Option
Purchase Price: ₦13 Billion (Net to Owner)
Transaction Procedure & Process
1. Letter of Intent (LOI) Submission
The prospective Lessee submits a formal Letter of Intent (LOI) addressed to the Lessor.
2. Preliminary Conference Meeting
A conference meeting (Google Meet or equivalent) is conducted with the Buyer/Lessee either before LOI submission or immediately after LOI, but prior to issuance of any Offer Letter, for client verification and transaction alignment.
3. Offer Issuance
Upon receipt and review of the LOI and successful conference verification, the Lessor issues:
Full Corporate Offer (FCO)
Memorandum of Understanding (MOU)
4. MOU Execution & Documentation
The Lessee executes and returns the MOU together with the following documents:
Corporate Affairs Commission (CAC) Certificate
International Passport (Data Page) of Authorized Signatory
5. License Verification & Due Diligence
The Lessor provides the License Registration Code to enable independent verification and due diligence by the Lessee and relevant advisers.
6. Proforma Invoice (PI)
A Proforma Invoice is issued in accordance with the agreed commercial terms.
7. Physical Meeting
A formal physical meeting is convened for final negotiations and execution of definitive agreements.
8. Deal Closure
Transaction completion through payment, documentation, and license handover in line with agreed terms and conditions.
